Terms of Service

These Terms of Service govern access to the AffiHQ website and software service provided by Rebase Reality, 6 rue d'Armaillé, 75017 Paris, France, registered under number 493 328 629 R.C.S. Paris ("AffiHQ", "we", "us" or "our").
By requesting access, creating an account, subscribing or using AffiHQ on behalf of an organisation, you confirm that you have authority to bind that organisation and accept these Terms.
Business use
AffiHQ is a business-to-business service for companies and professionals that operate affiliate programmes for software products. It is not offered to consumers for personal use.
In these Terms:
- Merchant means the organisation using AffiHQ to operate one or more affiliate programmes.
- User means a person authorised to access a Merchant account.
- Affiliate means a person or organisation admitted to a Merchant's programme.
- Referred Customer means a customer or prospective customer attributed to an Affiliate.
- Programme Data means campaigns, rules, links, codes, attributions, billing events, commissions, payout records, documents and related information processed through AffiHQ.
- Service means the AffiHQ website, merchant and affiliate interfaces, APIs, integrations, exports and related software.
The AffiHQ service
AffiHQ is intended to help Merchants:
- organise products, campaigns, Affiliates, links and codes;
- record attribution and conversion states;
- receive or reconcile eligible subscription billing events;
- calculate recurring commissions according to versioned rules;
- record refunds, disputes and other corrections without deleting paid history;
- prepare manual payout batches, exports and statements;
- give Affiliates a limited view of their activity and commissions.
Features, limits and behaviour are determined by the version of the Service made available to the Merchant and the subscription terms accepted at purchase.
AffiHQ is not a bank, payment institution, tax service, accounting system, affiliate marketplace, advertising agency or legal adviser. Unless a future written offer states otherwise, AffiHQ does not hold Affiliate funds or execute payouts for the Merchant.
Service use and verification
AffiHQ may evolve, and software can contain errors. We may place reasonable usage limits or modify an experimental feature to protect the Service, comply with law or improve reliability.
Merchants must independently verify payout batches before sending money and must not rely on AffiHQ as their only accounting record.
Accounts and security
The Merchant must provide accurate information, keep its contact details current and ensure that each User has an individual authorised account. Shared credentials are prohibited.
The Merchant is responsible for:
- selecting appropriate User roles;
- protecting credentials, recovery methods, API keys and integration secrets;
- removing access when a User no longer requires it;
- promptly reporting suspected compromise or unauthorised activity;
- reviewing security and audit information made available by the Service.
Actions performed through the Merchant account are treated as authorised by the Merchant unless the Merchant promptly provides evidence of unauthorised access caused exclusively by a failure attributable to AffiHQ.
Merchant responsibilities
The Merchant controls its affiliate programme and remains responsible for:
- deciding who may become an Affiliate;
- drafting and maintaining the programme terms accepted by Affiliates;
- selecting attribution windows, commission rates, eligible products, validation periods and exclusions;
- making lawful and fair decisions on disputed attributions;
- checking that discounts, commissions and payout batches match its commercial rules;
- paying Affiliates, collecting invoices and meeting accounting, tax and reporting duties;
- communicating programme suspensions, corrections and changes to Affiliates;
- ensuring that its customer relationship, advertising and affiliate practices comply with applicable law.
AffiHQ provides a technical record and calculation workflow. It does not become a party to the contract between a Merchant and its Affiliates or between a Merchant and its Referred Customers.
Affiliate transparency and conduct
The Merchant must require Affiliates to identify commercial communications clearly and comply with advertising, consumer-protection and influence-marketing rules.
The Merchant must prohibit practices that distort attribution or harm third parties, including:
- self-referrals and referrals between controlled accounts unless expressly allowed;
- cookie stuffing, forced clicks, hidden redirects or misleading links;
- bidding on protected brand terms when the programme prohibits it;
- false claims about the Merchant's product;
- impersonation, spam, unlawful scraping or unauthorised use of personal data;
- publishing codes on coupon sites contrary to the programme rules;
- attempting to alter identifiers, commission rates or billing events.
AffiHQ may help identify suspicious activity but does not guarantee detection of every abuse.
Attribution, consent and Referred Customers
The Merchant is responsible for the lawful collection of attribution on its websites and applications. Where a cookie or comparable tracer requires consent, the Merchant must obtain valid consent before storing it. Refusal must not block ordinary access to the Merchant's product.
The Merchant must:
- give visitors clear information about attribution;
- configure retention periods that match the announced programme rules;
- send AffiHQ only the Referred Customer data necessary for attribution and commission processing;
- avoid sending card details, complete customer profiles or unrelated personal information;
- provide a lawful method for a voluntarily entered affiliate code where it chooses to offer that alternative;
- prevent an attribution from being replaced after the commercial rules say it is locked, except through a justified and audited correction.
Integrations and billing events
The Merchant authorises AffiHQ to process the events and identifiers sent through its configured integrations. The Merchant must use supported authentication, signatures and permissions, and must not expose a provider's secret key in browser code or public repositories.
AffiHQ may calculate commissions from amounts reported as collected, refunded or disputed by the Merchant's billing source. The quality of the result depends on complete and accurate source events, product mappings and rules.
The Merchant must reconcile AffiHQ with its billing provider before approving payouts. If a billing event is missing, delayed, duplicated, reversed or incorrectly classified, the Merchant must pause the affected payout and investigate it.
Stripe and other third-party services operate under their own terms. AffiHQ is independent and does not control their availability, event timing, decisions or data.
Financial records and corrections
AffiHQ is designed to preserve an explainable commission history. A paid commission should not be silently deleted or overwritten. A refund, dispute or administrative correction may create a linked negative or positive entry.
Statuses such as pending, due, scheduled, paid, void, reversed or disputed are operational records. They do not by themselves prove that a legal debt exists, that an Affiliate has provided a compliant invoice or that a bank transfer has settled.
The Merchant remains responsible for final payout approval. It must verify recipient details outside AffiHQ through an appropriate process before sending funds.
Acceptable use
You must not:
- use the Service for unlawful, fraudulent or deceptive activity;
- access another Merchant's or Affiliate's data without permission;
- test, scan or exploit the Service in a way that disrupts it or exceeds an agreed security-testing scope;
- upload malware or use the Service to send spam;
- bypass usage limits or security measures;
- reverse engineer, copy or resell the Service except where mandatory law expressly permits it;
- use AffiHQ to operate pyramid schemes, unlawful multi-level commission structures or programmes involving prohibited goods or services;
- submit data you have no right to process.
We may rate-limit, reject or quarantine requests that threaten the Service or other users.
Subscriptions, prices and payment
AffiHQ is offered at USD 25 per month or USD 250 per year. The same features are included in both billing cycles, with unlimited products, Affiliates and campaigns for the same Merchant organisation. AffiHQ does not charge a percentage of attributed Affiliate revenue.
Unless stated otherwise:
- subscriptions are billed in advance and renew automatically for the selected period;
- the first payment is charged immediately and activates the subscription after confirmation;
- taxes are added where applicable;
- the Merchant may cancel future renewal, with access continuing until the end of the paid period;
- the first monthly or annual payment is covered by a 30-day money-back guarantee; later payments are non-refundable except where required by law or expressly agreed;
- we may change future prices after giving reasonable notice to existing paying Merchants.
For late B2B payments, penalties apply automatically from the day after the due date at the most recent European Central Bank refinancing rate plus ten percentage points. A fixed recovery indemnity of EUR 40 is also due under Article L. 441-10 of the French Commercial Code, without prejudice to additional justified recovery costs.
Merchant data and confidentiality
The Merchant retains its rights in Programme Data it provides. It grants Rebase Reality a limited right to host, copy, transform, transmit, back up and display that data only as necessary to provide, secure and improve the Service and meet legal duties.
Each party must protect the other party's non-public business, technical and financial information. Confidentiality does not apply to information that was already lawfully known, becomes public without breach, is independently developed, is received lawfully from a third party or must be disclosed by law.
Aggregated or anonymised information that no longer identifies the Merchant, Affiliate or Referred Customer may be used to measure and improve the Service.
Intellectual property
AffiHQ, its software, interfaces, calculation models, documentation, databases, trademarks and website content remain the property of Rebase Reality or its licensors.
During an active subscription, the Merchant receives a limited, non-exclusive, non-transferable and revocable right to use the Service for its internal business operations in accordance with these Terms.
Feedback may be used to improve AffiHQ without restriction or payment, provided we do not identify the contributor publicly without permission.
Availability, maintenance and changes
AffiHQ is provided under an obligation of reasonable efforts. We do not guarantee uninterrupted, error-free or permanently unchanged operation.
The Service may be unavailable or degraded because of maintenance, updates, security measures, traffic, internet failures or third-party providers. We may add, modify, suspend or remove features for security, compliance, reliability or product reasons.
No service-level agreement, guaranteed restoration time or service credit applies unless agreed in a separate written contract.
Suspension and termination
We may suspend or terminate access when:
- the Merchant fails to pay an amount due;
- these Terms, a programme rule or applicable law is materially breached;
- activity presents a security, fraud, legal or reputational risk;
- continued processing could harm another user or third party;
- a competent authority requires it;
- an essential third-party service becomes unavailable.
Where reasonably possible, we will give notice and an opportunity to remedy the issue. Immediate suspension may be necessary for security, fraud or unlawful activity.
At the end of the relationship, the Merchant must export the data it needs within the period and through the tools made available. We may then delete or anonymise data, subject to required retention for security, evidence, accounting and legal compliance.
Warranties and liability
The Merchant is responsible for its programme decisions, commercial promises, tax treatment, payouts, Affiliate conduct and customer relationship.
To the maximum extent permitted by law, AffiHQ is not liable for indirect or consequential loss, including lost revenue, profit, opportunity, reputation, customers or data, nor for a Merchant's incorrect payout caused by incomplete source events, misconfigured rules or failure to perform reconciliation.
Except for liability that cannot legally be limited, fraud or wilful misconduct, Rebase Reality's total cumulative liability arising from the Service is limited to the amount paid by the Merchant for AffiHQ during the twelve months preceding the event giving rise to the claim. If no amount was paid, the limit is EUR 100.
Indemnity
The Merchant will indemnify Rebase Reality against third-party claims, penalties and reasonable costs resulting from the Merchant's affiliate programme, unlawful data collection, Affiliate instructions, marketing claims, payout decisions, Programme Data or use of the Service in breach of these Terms.
Changes to these Terms
We may update these Terms to reflect changes in the Service, law, security requirements or business operations. The version date appears at the top.
For a material adverse change affecting a current paid subscription, we will give reasonable notice before it takes effect unless an urgent legal or security reason requires faster action. Continued use after the effective date constitutes acceptance of the updated Terms.
Governing law and disputes
These Terms are governed by French law.
The parties will attempt to resolve any dispute amicably. Failing agreement, and subject to mandatory jurisdiction rules, the competent courts within the jurisdiction of the Paris Court of Appeal shall have exclusive jurisdiction, including in summary proceedings, third-party claims or cases involving multiple defendants.
